UMACTF-15-M Corporate Financial Strategy 2016 Coursework Assignment: Corporate Governance in Financial Services Assessed Individual Assignment (For credit: 30 per cent of 15-credit module) Corporate governance in financial services has been a high priority for UK governments since the global financial crisis. The first report by the Walker Committee in November 2009 was A Review of Corporate Governance in UK Banks and Other Financial Industry Entities . Subsequently in June 2010 the new coalition government established the Independent Commission on Banking, often referred to as the Vickers Commission. Its terms of reference were to consider UK banking and identify structural and non-structural measures to reform the system and promote competition. The final report was published in September 2011 and demonstrates many of the agency issues faced by all companies to provide a current and challenging case study. Briefly explain the corporate governance failings of banks which arguably contributed to the financial crisis in the UK. In your view, does the solution to the governance failings (identified in part 1) lie with the board of directors or with the institutional shareholders of banks? If you were tasked with improving the corporate governance of banks, what five recommendations would you suggest to ensure that we do not face such governance problems in the future?
